Welcome to URBE (https://urbe.in), a digital platform operated by Pine Dacha Private Limited, a company incorporated under the Companies Act, 2013, having its registered office at South Sarania Road, Ulubari, Guwahati – 781007, Assam, India.

These Terms and Conditions ("Terms") constitute a binding agreement between the user ("you" or "User") and the Company and govern your access to and use of URBE, including our website, mobile applications, APIs, content, and associated services (collectively, the "Platform").

• URBE is a digital intermediary that connects individuals and entities offering parking spaces ("Vendors") with individuals seeking to reserve such spaces ("Customers").
• We do not own, lease, or control any parking spaces listed.
• We do not guarantee availability, legality, safety, or fitness for a particular purpose.

3. Account Registration and Access

Users must create an account using valid credentials. You agree to:

• Provide accurate and current information;
• Maintain confidentiality of login credentials;
• Take responsibility for all activity on your account.

4. Commercial Use by Entities

Fleet operators, businesses, and aggregators may register with URBE as commercial users. Such use is subject to:

• Separate agreements or commercial terms;
• Higher compliance standards (e.g., GST, commercial licensing);
• Verification of commercial documents.

5. Listings and Bookings

• Vendors are solely responsible for the accuracy, legality, and safety of their listings.
• Customers agree to honor the booking period and terms specified.
• No lease or tenancy is created; a limited license to use the parking space is granted.

6. Payment, Fees, and Taxes

All payments shall be processed through secure third-party gateways (e.g., Razorpay, Stripe). You acknowledge:

• URBE may collect booking charges, service fees, and commissions;
• Vendors are solely liable for applicable taxes (GST, income tax);
• URBE may deduct TDS under Indian Income Tax laws.

7. Subscriptions and Loyalty Programs

URBE may offer optional subscriptions or loyalty rewards. Such programs:

• Are governed by additional terms;
• May be terminated or modified at any time;
• Offer non-transferable benefits.

8. User Conduct and Responsibilities

You agree not to:

• Use the Platform for unlawful or fraudulent purposes;
• Post defamatory, harmful, or obscene content;
• Interfere with security or functionality of the Platform;
• Attempt unauthorized access to data or systems.

9. User-Generated Content

• You retain rights to content you submit (reviews, listings), but grant URBE a non-exclusive, royalty-free license to use, reproduce, and display such content;
• We reserve the right to moderate, remove, or block content without prior notice.

10. Intellectual Property

All rights, title, and interest in the Platform and content therein are owned by URBE or its licensors. You may not:

• Copy, reverse-engineer, or exploit any part of the Platform;
• Use trademarks or service marks without prior written permission.

11. Data Protection and Privacy

URBE complies with:

• The Information Technology Act, 2000 and SPDI Rules, 2011;
• The EU General Data Protection Regulation (GDPR), where applicable;

15. Indemnification

You agree to indemnify and hold harmless URBE and its affiliates, officers, and employees from any claims, liabilities, or losses arising from:

• Violation of these Terms;
• Infringement of third-party rights.

16. Force Majeure

URBE shall not be responsible for any failure or delay in performance due to events beyond its control including, but not limited to, natural disasters, war, acts of government, or internet failures.

17. Termination

We may suspend or terminate your account or access to the Platform at any time for violation of these Terms or applicable laws. Upon termination, all licenses and rights granted to you will cease immediately.

18. Governing Law and Dispute Resolution

• These Terms shall be governed by the laws of India.
• All disputes shall be subject to the exclusive jurisdiction of the courts in Guwahati, Assam.
• Any dispute which cannot be amicably resolved shall be referred to arbitration under the Arbitration and Conciliation Act, 1996. Seat of arbitration shall be Guwahati, Assam. Language shall be English.

19. Modifications to Terms

URBE reserves the right to modify or update these Terms at any time. Users will be notified via email or website banners. Continued use after changes implies acceptance.

20. Entire Agreement

These Terms, along with our Privacy Policy, constitute the entire agreement between you and the Company concerning the Platform and supersede any prior agreements.
